These Terms of Service ("Terms") are a binding agreement between Hive Technologies, Inc. ("Hive", "we", "us") and the organisation or person accessing the Hive platform ("Customer", "you"). By creating an account, enrolling a device, or otherwise using the service, you agree to these Terms on behalf of yourself and, where applicable, the organisation you represent, and you confirm you have authority to do so.
If you have a separately negotiated master services agreement with Hive, that agreement prevails where it conflicts with these Terms.
Hive is a device-management control plane for Android and AOSP devices. The service includes the management console, device agents, APIs, SDKs, documentation, and related support ("the Service"). We may improve or modify features over time; material reductions in core functionality during a paid term entitle you to terminate under Section 14.
You must provide accurate account information and keep credentials secure. You are responsible for all activity under your tenant, including activity by users you invite and API keys you create. The Service is intended for business use by users aged 18 or older.
Device authority. You represent that you own, lease, or are otherwise authorised to manage every device you enroll in Hive. Enrolling devices you are not authorised to control is a material breach of these Terms.

You retain all rights to data you or your devices submit to the Service ("Customer Data"). You grant Hive a licence to host and process Customer Data solely to provide and secure the Service. Our processing of personal data is described in the Privacy Policy and, for customers requiring one, a Data Processing Addendum is available from legal@hivemdm.com.
Your responsibility to end users. Where managed devices are used by employees or the public, you are the data controller: you are responsible for providing any required notices and for configuring management policies in line with the laws that apply to you.
Hive retains all rights in the Service, its software, and its branding. We grant you a non-exclusive, non-transferable right to use the Service during your subscription. Feedback you provide may be used to improve the Service without obligation.
Each party will protect the other's non-public information with at least the care it uses for its own, and use it only to perform under these Terms. This obligation survives termination for three years, and indefinitely for trade secrets.
The Service interoperates with third-party services (for example Android Enterprise, identity providers, and ITSM tools). Those services are governed by their own terms, and Hive is not responsible for them.
Hive uses and modifies open-source software, including Headwind MDM Server, copyright Vsevolod A. Mayorov, licensed under the Apache License, Version 2.0. Hive is independently developed and is not affiliated with or endorsed by Headwind MDM or its contributors.

We warrant that the Service will perform materially as described and that we will provide it with reasonable skill and care. Except as expressly stated, the Service is provided "as is", and we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
Neither party is liable for indirect, incidental, special, or consequential damages, or lost profits or revenue. Each party's total liability under these Terms is capped at the fees paid or payable by you in the twelve months before the event giving rise to the claim. These limits do not apply to breaches of Section 5 (Acceptable use), Section 8 (Confidentiality), indemnification obligations, or liability that cannot be limited by law.
You will defend and indemnify Hive against claims arising from your Customer Data, your use of the Service in breach of these Terms, or your management of devices without proper authorisation. Hive will defend and indemnify you against claims that the Service infringes a third party's intellectual-property rights.
You may cancel at any time from the console; paid terms run to the end of the current billing period. We may suspend or terminate access for material breach that remains uncured 14 days after notice, or immediately where the breach threatens the security of the Service or other customers. After termination we make Customer Data available for export for 30 days, then delete it in line with our retention schedule.
We may update these Terms; material changes are notified at least 30 days before they take effect, by email or in the console. Continued use after the effective date constitutes acceptance. If you do not accept, you may terminate and receive a pro-rated refund of prepaid fees for the unused period.
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-law rules. Disputes are subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and each party consents to their jurisdiction.
